Cross-Border Transactions
We have assisted both domestic and foreign clients in a wide range of cross-border transactions, including inbound and outbound investment, structured finance, project finance, leasing and licensing matters. We can advise foreign companies on the most effective means to do business in the United States, including through the establishment of agency, branch office or subsidiary structures with the assistance of our correspondent office in Brasil and a network of trusted colleagues throughout the world, we can also advise and assist U.S. companies in outbound transactions. Construction Law and Finance / Real Estate Investment
Our attorneys have extensive experience in all aspects of construction law and finance. Our attorneys have acted as construction counsel to public entities, as well as private developers, investors, lenders, owners, design professionals and contractors. We are experienced in handling complex transactions involving billions of dollars of construction finance. Other experience includes drafting and negotiating contracts for planning, investment, design, engineering, project management and construction management services. We have also advised foreign-high-net worth individuals on the legal, tax and other implications of U.S. real estate investments. International Tax
Our attorneys have assisted domestic and foreign corporations in U.S. and cross-border tax planning matters, including the development of treaty-driven structures designed to mitigate U.S. and foreign tax in international sales, lending and investment activities. We regularly advise foreign clients on the tax considerations of doing business with U.S. companies and on the establishment of branch offices, subsidiaries and agency arrangements in the United States. We also advise corporate clients on the tax implications of intercompany transactions, including transfer-pricing issues, and can advise on the development of transfer-pricing methodologies and the negotiation of transfer-pricing agreements with the U.S. Internal Revenue Service.
International Trade and Commerce
